Terms and Conditions

Effective Date: July 22, 2025 

 

1. Acceptance of Terms

By accessing, downloading, installing, or using the TripTips mobile application (the “App”) or any related services (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, you must immediately discontinue use of the Services.

These Terms constitute a legally binding agreement between TripTips, LLC (“TripTips,” “Company,” “we,” “us,” or “our”) and you, the user (“you,” “your,” or “User”).

​

TripTips is not a transportation provider, escort service, adult entertainment agency, or cannabis platform. It is a marketing technology platform.

  • Users, including influencers, promoters, drivers, and customers, are not employees, agents, or representatives of TripTips.

  • All participants act as independent users voluntarily engaging in the platform’s features.

  • TripTips does not endorse, monitor, or control the actions of users outside the app.

2. Description of Services
TripTips is a digital platform that facilitates promotional partnerships between businesses, rideshare drivers, influencers, and consumers. The Services include but are not limited to:

  • Enabling businesses to list promotional offers and provide digital discounts. 

  • Allowing rideshare drivers, influencers, and users to earn commissions for referring customers to businesses. 

  • Providing analytics and advertising options for businesses. 

  • Enabling businesses to process and track transactions via TripTips’ proprietary system.
    TripTips does not act as an employer, agent, broker, or contractor for any party using the Services. All transactions and engagements between businesses and users occur independently. 

 

 

 

3. Eligibility
To use TripTips, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction. 

  • Have the legal capacity to enter into a binding contract. 

  • Not have been previously suspended or removed from the TripTips platform.
    By using the Services, you represent and warrant that you meet these requirements.

4. User Accounts
Users must create an account to access certain features of the Services. You agree to: 

  • Provide accurate, current, and complete information during registration. 

  • Maintain the security and confidentiality of your login credentials. 

  • Accept responsibility for all activities that occur under your account. 

  • Immediately notify TripTips of any unauthorized use or security breach.
    TripTips reserves the right to suspend or terminate accounts that violate these Terms.

5. License & Permitted Use
TripTips grants you a limited, non-exclusive, non-transferable, and revocable license to use the App solely for lawful purposes and in accordance with these Terms. You may not: 

  • Copy, modify, distribute, sell, or lease any part of the App. 

  • Reverse-engineer, decompile, or attempt to extract the source code. 

  • Interfere with or disrupt the security, integrity, or performance of the Services.
    Unauthorized use may result in legal action and termination of access to the Services.

6. Prohibited Conduct Users agree not to:

  • Engage in fraud, misrepresentation, or deceptive practices. 

  • Post, transmit, or distribute harmful, illegal, or defamatory content. 

  • Violate any applicable federal, state, or local laws. 

  • Exploit or abuse referral programs for personal or financial gain.
    TripTips reserves the right to investigate and take action against violations, including account termination, legal action, and referral to law enforcement. 

 

 

6.1 Prohibited Use

Users agree not to:

  • Engage in fraud, misrepresentation, or deceptive practices.

  • Post, transmit, or distribute harmful, illegal, or defamatory content.

  • Violate any applicable federal, state, or local laws.

  • Exploit or abuse referral programs for personal or financial gain.

Additionally, users are prohibited from promoting, soliciting, or facilitating the following through TripTips:

  • Adult services involving illegal or regulated sexual activity.

  • Unlicensed cannabis or controlled substance businesses.

  • Gambling, escort services, or any activity prohibited by local law.

  • Transport-for-compensation arrangements to vice-based businesses (e.g., “pay-per-drop” for adult clubs).

TripTips reserves the right to investigate and take action against violations, including account termination, legal action, and referral to law enforcement.

 

 

7. Rewards & Payments

  • Referral commissions and promotional rewards are subject to the terms displayed within the App. 

  • Businesses are solely responsible for distributing any incentives or rewards they offer to users. 

  • TripTips is not responsible for non-payment by businesses. 

  • Payments are final and non-refundable, except as required by applicable law.

Referral Payout: 

• Every time a transaction occurs, $5-$50+ is paid to the referrer, TripTips collects a 30% transaction fee that is automatically deducted.

​

Payment Processing Fees:

  • Transaction Processing Fee: 3% + $0.36 per transaction.

Cashout Requirements: 

 

Cashout Requirement: Users that reach $600 in referral payouts must fill out a W-9 tax form through Tax1099 or other similar compliant tax service in the TripTips app.

​

One-Time Tax Filing Fee: A $4 fee will be deducted from the first cash out to cover the cost of processing the W-9. This will not be a recurring charge.

​

Minimum Cashout Threshold: Users must accumulate at least $5.00 before they can request a cashout. If the balance is below $5.00, it will remain in their account until it meets or exceeds this threshold.

 

Referral Tip Holding, Payout, and Account Compliance Policy

7.1. Wallet Holding and Payout Eligibility

  • When a user earns a referral tip through the TripTips platform, the funds are credited to their in-app wallet. 

  • Users are not required to submit a W-9 form immediately upon receipt of their first referral commission. 

  • Users may withdraw referral earnings at any time, unless or until they reach an aggregate total of $600 in commissions within a calendar year.

7.2. W-9 Threshold and Withholding Policy 

  • Once a user’s total referral commissions reach or exceed $600 in a given calendar year, TripTips will require the user to complete and submit a valid IRS W-9 form before any further withdrawals can be processed. 

​

  • Upon reaching the $600 threshold, users will be notified and prompted to complete their W-9 within a fourteen (14) calendar day compliance window. 

 

During this 14-day period: 

    • All referral commissions in the user’s wallet will be placed in a locked state. 

    • Users will receive daily notifications and countdown reminders to complete their W-9 and update any required information. 

    • No further withdrawals or payouts will be processed until a valid W-9 form is received and verified by TripTips.

7.2A. Failure to Comply and Funds Reversal

  • If the required W-9 form is not submitted and approved within the 14-day compliance window, all unclaimed referral commissions in the user’s wallet will be automatically forfeited and processed as follows:

  • The full amount of unclaimed referral tips will be reversed back to the originating business (the business that issued the tip), minus any non- refundable payment processing fees and TripTips’ 30% platform fee, which are both retained by TripTips and the payment processor, respectively. 

  • Users will forfeit any claim to such funds after the expiration of the 14-day compliance window.

  • TripTips will provide final notification to the user prior to the reversal of funds, stating the consequences of continued non-compliance.

 

​

7.2B. Ongoing Compliance 

  • Users are responsible for maintaining accurate and up-to-date banking and tax information in their TripTips account at all times. 

  • TripTips reserves the right to withhold or delay payments as necessary to ensure compliance with all applicable laws and IRS regulations. 

 

Each user and business is solely responsible for understanding and complying with applicable local, state, and federal laws including but not limited to:

  • Advertising and consumer protection laws.

  • Referral compensation limitations.

  • Local zoning, licensing, and operational regulations.

  • Prohibited activity statutes regarding transportation, adult services, gambling, or controlled substances.

 

TripTips may suspend or terminate any user or business account found to be in violation of these requirements.

TripTips Referral Tip Forfeiture and Commission Policy 

​

7.3. Referral Tip Forfeiture and Commission Retention

  • Referral Commission Earned Upon Transaction:
    Upon completion of a successful referral—defined as a new customer making a qualifying purchase at a participating business via the TripTips platform, QR code, or related technology—TripTips immediately earns its 30% commission (“TripTips Fee”) for facilitating and delivering paying customer foot traffic to the business. 

 

  • Unclaimed Referral Tips:
    All referral payouts to referrers (the “Referrer Tip”) must be claimed by the eligible referrer within fourteen (14) calendar days of the qualifying transaction by linking a valid, KYC-compliant bank account or payment method within the TripTips platform. 

  • Forfeiture of Unclaimed Tips:
    If a referrer fails to complete KYC verification and/or connect a valid withdrawal method within the fourteen (14) day claim period, the unclaimed Referrer Tip will be deemed forfeited by the referrer and shall be returned to the originating business, less the TripTips Fee and any non-refundable payment processor fees. 

  • No Refund of TripTips Fee:
    TripTips’ commission is earned and non-refundable upon the delivery of a new, paying customer to the business, irrespective of the referrer’s subsequent withdrawal/KYC activity. In the event of forfeiture, only the remaining portion of the Referrer Tip (after deduction of the TripTips Fee and payment processor fees) will be refunded to the business. Under no circumstance will TripTips return its earned commission on completed transactions. 

  • Notice of Forfeiture:
    TripTips will provide notice via in-app notification and/or email to the referrer at least three (3) times within the fourteen (14) day claim period, advising them to complete their account setup to claim their tip. Failure to act within this window will result in automatic forfeiture per this policy. 

  • No Custodial or Fiduciary Obligation:
    TripTips does not act as a custodian, fiduciary, or escrow agent for unclaimed tips. All funds not claimed in accordance with this section are either returned to the originating business or retained by TripTips as expressly stated herein. 

 

 

8. Privacy Policy & Data Usage

Use of the Services is also governed by our Privacy Policy, which details how we collect, use, and store personal data. By using TripTips, you consent to our data collection and usage practices as outlined in our

 

Privacy Policy. Specifically:

  • Data Collection and Sharing Practices: TripTips collects personal information necessary to provide Services and shares data with third-party partners only as required to facilitate transactions or comply with legal obligations. 

  • Opt-Out Procedures: Users may opt out of non-essential data collection via account settings or by contacting support. 

  • Security Measures: TripTips implements industry-standard encryption and data protection protocols to safeguard user information. 

  • Breach Notification Procedures: In the event of a data breach, affected users will be notified within 72 hours, along with details on the nature and scope of the breach.

8.1 Transparency & Disclosure

TripTips requires all users to clearly disclose when sharing links, QR codes, or offers that they may receive a tip or incentive if the recipient makes a qualifying purchase.

  • Influencers must comply with FTC disclosure guidelines.

  • Businesses must disclose the terms and conditions of all offers listed on TripTips.

  • All promotional materials or outreach by users must clearly state the existence of potential financial incentive.

 

8.1.A Business Participation & Eligibility

  • Businesses must offer a referral payout to referrers ($10 minimum or higher) and a valid incentive/discount offer for customers to have a "Active" listing on the TripTips app. Businesses are not under contract or obligated to run discounts "but" when a business does not offer a discount to customers their business will be shadow banned temporarily from the TripTips app until a new promotional offer/discount is posted. At such time the business listing will be visible to customers and referrers again. 

  • TripTips does not guarantee customer traffic, and businesses participate at their own risk. 

  • Businesses can leave at any time without penalty.

 

 

8.2. No Liability for Business Performance 

    • TripTips is not responsible for a business’s success or failure while using the platform. 

    • Businesses agree that TripTips only facilitates transactions and does not guarantee revenue or customers.

8.2.A  TripTips High-Risk Business Category Addendum

​

This Addendum supplements the TripTips Terms of Use and applies specifically to businesses listed under high-risk categories, including but not limited to adult entertainment venues and licensed cannabis dispensaries.

1. Eligibility & Licensing Requirements


All businesses categorized under “High-Risk” (e.g., strip clubs, adult venues, cannabis dispensaries) must:
- Confirm and certify they are properly licensed under applicable local and state law.
- Operate in jurisdictions where such business types are permitted.
- Upload verification documents upon TripTips’ request.

 

2. Advertising & Promotional Restrictions


TripTips prohibits:
- Advertising specific product pricing for cannabis or alcohol (e.g., “$10 grams”).
- Promotions or listings that include explicit or obscene imagery.
- Any content targeting users under the age of 18 (adult venues) or 21 (cannabis).

TripTips allows:
- General business promotion (e.g., “10% off total bill” or “VIP entry discount”).
- Sponsored placement (e.g., premium category ranking, homepage visibility).
- Sponsored comment or feed features, subject to content approval.

 

3. Age Gating & Content Control


TripTips enforces platform-based content restrictions to prevent exposure to inappropriate or age-sensitive content. High-risk businesses agree to:
- Accept TripTips’ age gating protocol (18+ or 21+ only access based on business type).
- Display an age confirmation pop-up prior to category entry or viewing listings.
- Abide by any federal, state, or app store regulations related to restricted content.

 

4. Legal Separation & Disclaimers


TripTips is a third-party marketing platform. We do not:
- Facilitate or promote the consumption of controlled substances.
- Endorse or participate in transactions between customers and businesses.
- Receive any percentage of sales from cannabis, alcohol, or adult services.

All business participants agree to indemnify TripTips from any legal liability resulting from false claims, regulatory violations, or unauthorized activity related to their category listing.

 

5. Enforcement & Termination


TripTips reserves the right to:
- Deny listing or remove any business from the platform at its sole discretion.
- Suspend ad placements, remove comments, or disable category access for any violation.
- Notify regulatory agencies if illegal or non-compliant activity is detected.

8.3. Transaction & Referral Payment Disclaimer

  • Businesses must authorize TripTips to process automatic withdrawals for referral
    payouts. 

  • TripTips is not liable for payment disputes between businesses and referrers but the TripTips app does offer a chat/comment feature in each business page for customers and businesses to communicate and resolve issues between both parties.

 

 

8.4. CRM Data & Tracking Limitations 

  • Businesses acknowledge that TripTips’ tracking system is provided “as-is”, and TripTips is not liable for any discrepancies in transaction records. 

  • In the event of tracking issues, businesses must report disputes within 30 days of the transaction.

 

 

8.5. Fraud Prevention & Misuse Clause 

  • Businesses agree not to manipulate or abuse the QR redemption system. 

  • TripTips reserves the right to ban businesses suspected of fraudulent behavior (e.g., fake transactions, fake referrals). 

  • Businesses caught engaging in fraud may be subject to legal action and can be removed from the TripTips app. 

 

 

8.6. Data Handling & Privacy

  • TripTips does not store full financial or personal business banking details—all payment processing is handled by a third-party provider. 

  • TripTips logs transactional timestamps and referral payouts, but businesses are responsible for their own record-keeping. 

 

 

8.7 Independent Contractor Disclaimer & Liability Waiver

 

(A) Independent Contractor Status

TripTips, LLC (“TripTips”) operates a platform that allows individuals, including but not limited to rideshare drivers, influencers, business owners, and customers (collectively, “Referrers”), to earn commissions by referring new users to download the TripTips mobile application through referral links or QR codes.

 

(A 1) Independent Contractors and Third-Party Conduct

• TripTips operates solely as a technology platform that connects businesses with independent users, including but not limited to promoters, influencers, customers, and drivers (“Referrers”). All Referrers are independent entities and are not employees, agents, partners, or representatives of TripTips.

• TripTips does not control, direct, or monitor the behavior or content creation activities of Referrers. As such, any recordings, photographs, or media captured by Referrers while visiting a business listed on the TripTips platform are undertaken at their sole discretion and responsibility.

• Businesses acknowledge and agree that TripTips is not liable for any actions, omissions, or content created by Referrers, including but not limited to unauthorized filming, recording, or other conduct while on business premises.

• By listing a business on the TripTips platform, the business waives any and all claims against TripTips arising from Referrer conduct, and agrees to resolve any disputes directly with the Referrer.

• Businesses are solely responsible for enforcing their own in-store media, privacy, or filming policies. If a business does not allow recording or filming on-site, it is their obligation to clearly communicate and enforce such restrictions directly with Referrers by posting a: "No Photographs, Videography or Audio Recordings on premises" in the business listing description box on the TripTips mobile app.

• TripTips shall not be held liable for any damages, claims, lawsuits, or legal actions arising from third-party content creation or behavior, including claims of invasion of privacy, misrepresentation, defamation, or unauthorized commercial use of business likeness or premises.

 

By participating in the TripTips referral program, you acknowledge and agree that:

  • Referrers are independent contractors, not employees, agents, or representatives of TripTips. 

  • TripTips does not direct, control, or supervise how Referrers promote the app, provided that all promotional activities comply with these Terms. 

  • TripTips is not responsible for any statements, representations, or promises made by Referrers. 

  • By signing up as a promoter, you acknowledge that you are acting as an independent contractor and not as an employee of TripTips. You are responsible for your own tax reporting. TripTips will issue a Form 1099-NEC if your earnings exceed $600 within a calendar year, in accordance with IRS regulations. 

  • Once a promotors account exceeds $600 within a calendar year the promoter will be prompted in the TripTips app to submit their Full Legal name, Social Security Number and legal mailing address to continue receiving future referral payouts. 

  • Promoters will have up to 14 days to comply. 

  • Should the promoter not comply within the 14 days the promoters TripTips referral payout account will be frozen and any referral funds will be returned to the original businesses that issued the referral payouts. 

  • Promoters will still have access to the TripTips app to utilize all business discount offers but will no longer be allowed to accept referral "TIP" payouts until the promoter complies and submits their Full Legal name, Social Security Number and legal mailing address to continue receiving future referral payouts. 

  • At such time the promoters referral account will be reinstated as "ACTIVE". 

 

(B) Limited Liability for Referral Actions

TripTips shall not be liable for any claims, damages, or disputes arising from the actions of any Referrer, including but not limited to:

  • Misrepresentations made by a Referrer regarding TripTips, its services, or potential earnings. 

  • Any disputes between a Referrer and a referred user, business, or third party. 

  • Any unauthorized, misleading, or unlawful promotional activities conducted by a Referrer.

 

(C) No Endorsement of Referrer Activities
TripTips does not endorse, monitor, or assume responsibility for how Referrers share referral links or QR codes. Referrers are solely responsible for ensuring that their promotional methods comply with applicable laws and these Terms. 


(D) Indemnification
By participating in the TripTips referral program, Referrers agree to indemnify, defend, and hold harmless TripTips, its officers, directors, employees, and affiliates from any claims, liabilities, damages, or expenses (including legal fees) arising from: 

  • Their participation in the referral program. 

  • Their actions, promotions, or communications with referred users. 

  • Any violation of these Terms or applicable laws.

 

9. Intellectual Property
All trademarks, content, and proprietary technology within the App are owned exclusively by TripTips, LLC. Users may not use, copy, or distribute any intellectual property without written permission.

10. Disclaimers & Limitations of Liability

​

10.1 No Warranties
The TripTips Services are provided “as-is” and “as-available,” without warranties of any kind.

TripTips does not guarantee:

  • The accuracy or reliability of business listings or deals. 

  • The availability, uptime, or error-free operation of the App. 

  • The effectiveness or profitability of any marketing campaign or listing.

 

10.2 Limitation of Liability
To the maximum extent permitted by law, TripTips shall not be liable for: 

  • Any indirect, incidental, or consequential damages arising from use of the Services. 

  • Any loss of profits, data, or business opportunities. 

  • Any disputes or financial losses between businesses, users, or third parties.
    Total liability of TripTips for any claim shall not exceed $500 or the amount paid to us in the past 12 months, whichever is greater.

11. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Nevada, without regard to conflict-of- law principles. 

 

11.1 Dispute Resolution Process

  • Initial Notification: Users must notify TripTips of any dispute within 30 days of the event giving rise to the dispute by contacting support. 

  • Mediation: Parties agree to attempt resolution through mediation before proceeding to arbitration. 

  • Arbitration: 

    • All disputes shall be resolved through binding arbitration in Las Vegas, Nevada, conducted by a neutral arbitrator. 

    • Arbitration costs shall be shared equally unless otherwise determined by the arbitrator. 

    • Users waive their right to bring class-action lawsuits against TripTips.

 

12. Force Majeure
TripTips shall not be held liable for delays or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, strikes, government actions, or technical failures.

 

13. Changes to These Terms
TripTips reserves the right to modify these Terms at any time. Users will be notified of significant changes through email or an in-app notification. Continued use of the Services constitutes acceptance of the revised Terms.

 

14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. 

 

15. Termination

• Users may terminate their account at any time by discontinuing use of the Services.

• TripTips reserves the right to suspend or terminate accounts for violations of these Terms or for any reason at its sole discretion, with a 14-day notice where possible.
